Our Compliance Specialists manage corporate regulatory compliance services, bank account logistics, and other organizational tasks for our rapidly growing client portfolio. In this capacity, this role may serve as Corporate Secretary and/or Authorized Officer for our client companies.

Due to the continuing growth of our business and our client base achieving a critical mass, we are searching for an ambitious Compliance Specialist to join our Compliance Team in Wilmington, Delaware. This role would suit someone confident in their ability, with excellent organizational and written communication skills, that is ready to step into a dynamic, fast-growing business with a strong client base.

Our compliance and commercial management expertise supports a variety of companies from multiple foreign countries — in sectors ranging from biotechnology and renewable resources to agtech, fintech, SaaS, and food & beverage.

Key Responsibilities

This is a customer facing role with significant variety. Once settled in at Acclime USA, your role will cover onboarding new clients with a range of services and tasks, including:

Client Services & Compliance

• Handling client enquiries and issues regarding compliance and best practice corporate governance
• Acting as Authorized Officer for our clients to manage their corporate registrations
• Acting as signatory and providing assistance with documentation to open business bank accounts
• Applications for Employer Identification Numbers (EINs) for foreign-controlled subsidiaries
• Managing Company Incorporations in Delaware and Federal tax registrations
• Overseeing State registrations and county/city Business License applications
• Handling of IRS and other government enquiries where relevant and when required

Regulatory & Documentation

• Drafting of Board of Directors’ resolutions
• Drafting of forms with IRS and other relevant regulatory and state authorities
• Drafting and filing of forms with IRS and other relevant regulatory and state authorities
• Creation and maintenance of Client Corporate Registers (e.g., Excel spreadsheets/Monday Boards) for tracking the progress of internal projects
• Creation and maintenance of Corporate Registers
• Ensure company records are maintained, secure, and up to date

Administrative & Office Management

• Scanning and filing documents in our cloud-based system for distribution
• Forwarding of correspondence to Compliance Specialists and other personnel for distribution
• Forwarding of correspondence to clients
• Labelling envelopes for sending
• Effectively maintain office systems, computers, peripherals, etc.; procure and replace office equipment
• Maintain and replenish stationery and general office inventory
• Overseeing and coordinating all office administrative functions to ensure operational excellence; responsibilities include maintaining a clean and organized workspace, as well as managing general office upkeep tasks
• Provide high-level personal assistance to Compliance Specialists including the preparation of client emails, office correspondence, travel arrangements, etc., as required
• Assist in the preparation of company newsletters and communication packages for distribution

Financial & Process Management

• Managing and overseeing the invoicing of all new clients for new incorporations,
• bank account openings, and state qualifications
• Managing and overseeing invoicing clients for all once-off filings including but not limited to additional state qualifications, registered agent services, and annual reports
• Continuous process improvements to improve efficiency and scalability
• Troubleshooting and problem solving for US-inbound clients and business operations

Miscellaneous

• Other ad-hoc duties for clients and Acclime USA as required

Key Requirements:

Essential

• A friendly and passionate personality with a high attention to customer service
• A high level of attention to detail and a diligent nature
• A high level of computer literacy and experience with cloud-based software solutions
• Proficiency with Microsoft Office and cloud-based task management software platforms
• Excellent written and verbal communication skills
• Strong organizational skills, with the capacity to successfully manage competing priorities, plan workload, maintain attention to detail, and meet deadlines
• A willingness to think laterally in the approach to problems — developing creative solutions instead of applying time-worn methods

Beneficial

• A minimum of 12 months’ experience within Corporate Compliance
• Project management experience
• Foreign language skills (not a prerequisite, but looked upon favorably)
• Bachelor’s or graduate-level education in finance, law, or other relevant discipline
